Constitution

ARTICLE 1 - ASSOCIATION NAME

 The name of this association shall be Champlin Park Traveling Basketball Association, Inc., hereinafter called CPTBA.

 

ARTICLE 2 - PURPOSE

The purpose of this organization is to develop and operate a basketball program in the attendance area served by Champlin Park High School.

 

ARTICLE 3 - GOVERNANCE

This association shall be governed by, and comply with, the principles, rules, and regulations of the CPTBA.

 

ARTICLE 4 - ELIGIBLE PARTICIPANTS

 Eligible participants in the program shall include those students that attend a school in the Champlin Park attendance area or reside in the boundaries of the Champlin Park High School attendance area. Any exception to these guidelines would have to be approved by the Board of Directors of the Association. It shall be their responsibility to ensure that such an exception does not conflict with rules set by State governing bodies. Any coach who willfully violates this provision shall immediately be suspended from the association, which includes coaching privileges.

 

ARTICLE 5 - POWERS

This association shall have the following powers in addition to the powers expressly or impliedly conferred on it by law To make and enforce rules and regulations to govern itself on a local basis, but consistent with and not contrary to any rules and regulation promulgated by State and National Ruling Bodies.

 

ARTICLE 6 - MEMBERSHIP

General membership shall include people with children, stepchildren, foster children in the CPTBA program; people with legal guardianship of children in the CPTBA program; CPTBA coaches; appointed board members; elected board members; basketball coaches of Champlin Park High School and responsible volunteers.

 

ARTICLE 7 - OFFICERS

Officers of the association shall be President, Vice President - Administration, Director of Operations, Girls Director of Tournaments, Boys Director of Tournaments, Secretary, and Treasurer.

 

ARTICLE 8 - DIRECTORS

Directors of the association shall consist of seven (7) elected members who are: President, Vice President - Administration, Director of Operations, Girls Director of Tournaments, Boys Director of Tournaments, Secretary, and Treasurer. Terms of office shall be determined in the by-laws, but shall not exceed two (2) consecutive terms in the office of the President and the Treasurer.  The elected board shall set association policy and enforce association rules; non-elected positions with full voting rights may be appointed by the Board of Directors which shall determine the duties of any such office. Any such positions shall be appointed or reappointed by each new Board. Only association members in good standing may hold office. Vacancies are filled by the Board by simple majority vote; elected board members may be impeached and removed by 80% vote of all voting members. Appointed members may be removed from office by majority vote of elected board members present.

 

ARTICLE 9 - COMMITTEES

Committee(s) may be formed by the Board of Directors as needed to perform services and duties to and for the association as the board sees appropriate (i.e. Audit, Equipment, Budget managers, Protest, Sponsors, Special finance, Fund raising, etc.) All committees will have a minimum of 3 members. The president shall be an ex officio member of all committees. All committees operate under the scope and authority granted by the association board to perform their special objective.

 

ARTICLE 10 - MEETINGS

A. Regular meetings - Scheduled by the President at the conclusion of each regular meeting. All members may attend.

B. Annual meeting - Scheduled by the president. All voting members may attend

C. Special meetings - Scheduled by the president. Only board of directors may attend plus any persons requested to attend by the board.

D. Regular meetings and annual meetings - Notices for regular meetings should be sent out to all voting members, with a notice in the local papers notifying non-voting members. Notices for the annual election must be made public at least seven (7) days prior to the meeting. Both meeting notices should contain time and place of the meeting. Special meetings need no official notice.

E. A quorum will consist of 50% of voting members.

 

ARTICLE 11 - AMENDMENTS

Amendments to the Constitution on by-laws must be submitted and reviewed thirty (30) days prior to the official vote on accepting or rejecting the amendment(s). Notice or Amendment must be published in the Secretary's meeting minutes. Adoption of the amendment requires a three-fourths vote for approval of those voting members present. Resolution of amendments requires a three-fourths vote of the total voting membership in person or by written proxy.

 

ARTICLE 12 - DISSOLUTION

In the event of a dissolution of the CPTBA: first any outstanding obligations shall be paid, then all cash, checking or saving accounts, and any other money funds shall be given to the Champlin Park High School general scholarship fund; all equipment, uniforms, and other non-monetary items shall be given to the Champlin Park High School athletic department. Final accounting and closing of the books shall be done by the last Treasurer of record and kept by that person in accordance with applicable federal and Minnesota laws.

 

ARTICLE 13 - SELECTION OF COACHES

The head coach for the "A" team is selected through an interview process conducted by the Board. The position will be advertised in local papers at least 6 weeks in advance of interviews. The "A" team head coach will run tryouts with assistance from the board and other association coaches. Once tryouts are finished and the "A" team players are selected, and there are enough players for a "B" team and/or "C" teams, then a "B team head coach will be sought from the parents of the players not selected for the "A" team. If there is more than one "B" parent wishing to be the "B" team head coach then the Board will interview the nominees and select one as head coach. If there are no volunteers for head coach then the board will seek a head coach as it sees fit. All head coaches "A", "B", and "C" have equal rights under this constitution except that the "A" team coach has first pick of players at tryouts, "B" team coach second, etc.
